Bylaws of the Georgia Triumph Association

Article 1:
Name: The club shall be known as the Georgia Triumph Association. (GTA)

Article 2:
Affiliation: The GTA is a registered Chapter of the Vintage Triumph Register (VTR). The GTA is a registered non-profit organization.

Article 3:
Purpose: The GTA shall encourage the ownership, safe operation, and restoration of Triumph motor cars. The GTA shall act as a source for parts location for the members. The GTA shall develop and maintain lists of new and used parts sources, as well as mechanics and repair facilities. The GTA shall promote the pastime of motoring in Triumph motor cars.

Article 4:
Membership Eligibility: All owners and enthusiasts of Triumph motor cars are eligible for membership in the GTA. At no time shall the number of members not owning Triumph motor cars exceed 25% of the total membership.

Article 4 a: Honorary Membership: Those persons having Honorary Membership status as of 11/1/93 shall not have their status changed. Henceforth, an Honorary Member may be nominated by any member of the GTA in good standing. The nomination must be in writing, name the nominee, and state the reason the nominee should be considered for Honorary Member status. The Board of Directors will meet at their convenience and decide by simple majority vote of the Board members present to grant or deny the Honorary Membership. The Honorary Member will receive a plaque listing their name, status as an Honorary Member, and the reason they were named an Honorary Member. The Honorary Member will not receive issues of the Trumpet. The Honorary Member will not be granted voting privileges, and will not receive any other member benefits normally associated with membership in the GTA. The Honorary Member may receive all the aforementioned benefits by paying the dues and becoming a member of the GTA.

Article 5:
Dues: Annual dues for membership in the GTA shall be determined by the Board of Directors on a yearly basis. The dues are payable on application, and will be prorated per remaining month of the calendar year. After the first year, dues will become payable on January 1st. After the end of the year, all members shall receive the January newsletter, which will include reminders that their dues are past due. After the end of January, should dues remain unpaid, the benefits of that member will be terminated until such time as dues are paid. There will be no refunds of dues.

Article 6:
Membership Number/Membership Card: Upon receipt of the annual dues, the new member shall be issued a membership number. The number will be kept on file by the Secretary/Treasurer. The new member shall receive a membership card which will have the member's name, membership number, and the Director's signature. The cards are to be presented to those businesses that offer discounts to members of the GTA for the parts and services. The member's spouse may also be named on the card.

Article 7:
Expulsion/Suspension: Members may be expelled or suspended from the GTA if, in the opinion of the majority of the membership, they commit an infraction of the GTA rules, or by conduct that reflects unfavorably upon the reputation of the GTA. The offending member's name shall be submitted in a written complaint to the Board of Directors for review. The complaint must be signed by a current member of the GTA. The Board will review the complaint, and if it is found to be valid, the complaint will be put before the membership for a vote.

Article 8:
Meetings: The GTA will conduct monthly meetings. The dates, times, and functions of the meetings shall be determined by the Board of Directors.

Article 9:
Liabilities: All persons or corporations extending credit to, contracting with, or having any claim against the GTA or its officers shall look only to the funds and property of the GTA for repayment of any such contract or claim of any dept, damage, judgments, or decree, nor any other money that may otherwise become due or payable to them from the GTA or the officers, to that neither the members of the GTA, nor its officers, past, present, or future, shall be personally liable therefore.

Article 10:
Bylaws: The Bylaws of the GTA may be amended by the Board of Directors. Any such changes must be ratified by a vote of the membership. Amendments to the Bylaws must be posted in the newsletter with a call for the membership to vote on such amendments at a specified membership meeting. At this meeting, the acceptance or rejection of the amendment will be decided upon by simple majority of the members of the GTA responding to the call to vote.

Article 11:
Election of the Board of Directors: The election of the officers of the GTA shall take place in November. The term of officers shall be for one (1) year. The election shall be a simple majority of the members of the GTA responding to the call to vote. Nominations of officers shall be written and submitted to the Club headquarters by October 15th. The nominees will be notified by the Board and the nominees will be required to respond by October 31st. The ballots will be sent to al GTA members in good standing in the November newsletter. The ballots must be returned to the Secretary/Treasurer by December 1st. The new officers will be installed at the December meeting of the GTA.

Article 12:
Voting: GTA members in good standing are eligible to vote in any matter of election put before the membership by the Board of Directors. When an issue is put before the membership, advance notification will be made via the newsletter. An appropriate amount of time what will be decided upon by the Board will transpire between the time the issue is published in the newsletter and the time it is voted upon at a membership meeting. In the event that a member is not able to attend this meeting, his/her vote can be registered prior to the meeting to the Secretary/Treasurer. An absentee vote can be placed either via mailed-in notice or through verbal communication directly to the Secretary/Treasurer.

Article 13:
Requirements for Board Members: The Board members must be members in good standing of the GTA.
